WHEREAS, Brooklyn Letters, LLC ("Brooklyn Letters") is a tutoring and educational service provider facilitating connections between independent contractors and clients seeking educational services.

WHEREAS, ("IC") is an independent contractor who provides educational services and is considering accepting a tutoring position offered by the family through Tutors International ("Client").

WHEREAS, Brooklyn Letters has facilitated the introduction and potential employment of IC with the Client, and both parties wish to formalize the terms under which Brooklyn Letters will receive a commission for this facilitation.

Agreement

Commission Payment
If IC accepts the tutoring position offered by the Client, IC agrees to pay Brooklyn Letters a commission of 11% of the total monthly salary of $21,375 USD per month.

Payment Terms
The commission of 11% ($2,351.25 USD) shall be paid to Brooklyn Letters on a monthly basis, commencing from the first month of IC's employment with the Client and continuing for the duration of the employment period, which is expected to be one year starting from July 2025.

IC's Share
The IC's share will be at least $19,000 USD per month, paid directly from the Client.

Duration of Agreement
This Agreement shall remain in effect for the entire duration of IC's employment with the Client. Should the employment extend beyond the initial one-year period, the commission payment terms shall continue to apply.

Method of Payment
Payments shall be made by IC to Brooklyn Letters via on or before the of each month.

Termination
This Agreement may be terminated by either party with 30 days' written notice. In the event of termination, IC shall pay Brooklyn Letters the commission due up to the date of termination.

Confidentiality
Both parties agree to maintain the confidentiality of this Agreement and any related transactions.

Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of .

Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, negotiations, and understandings, whether written or oral.

Amendments
Any amendments or modifications to this Agreement must be in writing and signed by both parties.
